1. Purpose & Scope

This Data Policy describes RedRoot Chemicals’ general approach to business, technical, commercial and operational data received or created through RedRoot activities.

It supplements the Privacy Policy. Where data identifies or relates to an individual, the Privacy Policy and applicable privacy law also apply.

2. Data Categories

RedRoot may handle data such as:

• product specifications, formulations and technical requirements;
• sourcing, volume, pricing, logistics and supply-chain information;
• facility, production and operational information;
• agronomic, field, soil, sustainability and climate-related data;
• market, distributor, dealer and commercial-development information;
• due-diligence, project and partnership information;

3. Ownership & Permitted Use

Unless otherwise agreed in writing, providing data to RedRoot does not transfer ownership of the originating party’s underlying proprietary information.

1. Kapsam ve Veri Sorumlusu

Bu Aydınlatma Metni, 6698 sayılı Kişisel Verilerin Korunması Kanunu (“KVKK”) kapsamında, RedRoot internet sitesini ziyaret eden, iletişim formlarını kullanan veya RedRoot İklim ve Toprak Teknolojileri A.Ş. (“RedRoot”) ile ticari ya da profesyonel iletişim kuran kişilere ilişkin kişisel verilerin işlenmesine yönelik bilgilendirme amacı taşır.

KVKK bakımından veri sorumlusu RedRoot İklim ve Toprak Teknolojileri A.Ş.’dir.

Bu metin bir açık rıza metni değildir. Açık rıza gerektiren veri işleme faaliyetlerinde açık rıza, aydınlatmadan ayrı ve özgür iradeye dayalı bir mekanizma ile talep edilir.

2. İşlenen Kişisel Veriler

Etkileşimin niteliğine göre aşağıdaki kişisel veriler işlenebilir:

• ad, soyad, unvan ve şirket bilgileri;
• e-posta adresi, telefon numarası ve diğer iletişim bilgileri;
• şehir, bölge, pazar ve faaliyet alanı bilgileri;
• ürün, üretim, tesis, tedarik, bayi, iş ortaklığı veya proje talebinde paylaşılan bilgiler;
• RedRoot ile gerçekleştirilen yazışma ve iletişim kayıtları;
• IP adresi, tarayıcı ve cihaz bilgileri, oturum ve internet sitesi kullanım verileri;
• mevzuata uygun şekilde iş ortakları, etkinlikler veya kamuya açık kaynaklardan edinilen profesyonel bilgiler.

Özel nitelikli kişisel verilerin internet sitesi üzerinden paylaşılmaması rica olunur; bu tür veriler ancak gerekli ve hukuka uygun bir süreç kapsamında ayrıca talep edilir.

3. İşleme Amaçları ve Hukuki Sebepler

Kişisel veriler aşağıdaki amaçlarla işlenebilir:

• iletişim ve başvuruların yanıtlanması;
• ürün, tedarik, üretim, pazar, tesis, bayi ve iş ortaklığı taleplerinin değerlendirilmesi;
• teklif, sözleşme ve ticari ilişki süreçlerinin yürütülmesi;
• müşteri, tedarikçi, bayi ve iş ortağı ilişkilerinin yönetilmesi;
• mevzuat, uyum, güvenlik, denetim ve hukuki süreçlerin yürütülmesi;
• internet sitesinin güvenliğinin, performansının ve kullanıcı deneyiminin geliştirilmesi;
• izin veya diğer hukuki şartların bulunması hâlinde kurumsal iletişim ve pazarlama yapılması.

Kişisel veriler, somut işleme faaliyetine göre KVKK’da öngörülen hukuki sebepler kapsamında; kanunlarda açıkça öngörülmesi, bir sözleşmenin kurulması veya ifasıyla doğrudan ilgili olması, hukuki yükümlülüğün yerine getirilmesi, bir hakkın tesisi, kullanılması veya korunması, RedRoot’un meşru menfaatleri veya gerekli hâllerde açık rıza temelinde işlenebilir.

4. Çerezler

İnternet sitesinde güvenlik, temel işlevler ve kullanıcının açıkça talep ettiği hizmetlerin sağlanması için kesinlikle gerekli çerezler kullanılabilir.

Analitik, tercih veya benzeri zorunlu olmayan çerezlerin kullanılması hâlinde, yürürlükteki mevzuatın gerektirdiği durumlarda bu çerezler kullanıcı tercihine göre çalıştırılır. Kullanıcıya gerekli hâllerde Kabul Et, Reddet ve Tercihler seçenekleri sunulur.

Çerezlere ilişkin bilgilendirme; çerezin amacı, süresi ve birinci/üçüncü taraf niteliği gibi unsurları içerecek şekilde ayrıca veya bu politikanın ilgili bölümünde sunulabilir.

5. Aktarım ve Yurt Dışına Aktarım

Kişisel veriler; faaliyetlerin yürütülmesi için gerekli olduğu ölçüde:

• yetkili RedRoot çalışanları ve grup/iştirak yapıları;
• bilgi teknolojileri, barındırma, iletişim, güvenlik ve profesyonel hizmet sağlayıcıları;
• proje, tedarik, üretim, lojistik, finansman veya ticari değerlendirme süreçlerine dahil yetkili iş ortakları;
• hukuken yetkili kamu kurumları ve resmi merciler

ile KVKK ve ilgili mevzuata uygun olarak paylaşılabilir.

Kişisel verilerin yurt dışına aktarılması gereken durumlarda KVKK’nın güncel yurt dışı aktarım rejimine uygun yöntemler ve gerekli güvenceler uygulanır; yeterlilik kararı, uygun güvenceler, standart sözleşmeler veya mevzuatta öngörülen diğer hukuki mekanizmalardan uygun olanı kullanılır.

6. Saklama ve Güvenlik

Kişisel veriler, işleme amacının gerektirdiği süre boyunca ve ilgili mevzuatta öngörülen zorunlu saklama süreleri dikkate alınarak muhafaza edilir; işleme sebebi ortadan kalktığında mevzuata uygun şekilde silinir, yok edilir veya anonim hâle getirilir.

RedRoot, kişisel verilerin hukuka aykırı işlenmesini ve erişilmesini önlemeye ve verilerin muhafazasını sağlamaya yönelik uygun teknik ve idari tedbirleri uygular.

7. İlgili Kişi Hakları ve Başvuru

KVKK’nın 11. maddesi kapsamında, şartları oluştuğu ölçüde kişisel verilerinizin:

• işlenip işlenmediğini öğrenme;
• işlenmişse buna ilişkin bilgi talep etme;
• işlenme amacını ve amacına uygun kullanılıp kullanılmadığını öğrenme;
• yurt içinde veya yurt dışında aktarıldığı üçüncü kişileri bilme;
• eksik veya yanlış işlenmişse düzeltilmesini isteme;
• mevzuattaki şartların oluşması hâlinde silinmesini veya yok edilmesini isteme;
• düzeltme, silme veya yok etme işlemlerinin verilerin aktarıldığı üçüncü kişilere bildirilmesini isteme;
• münhasıran otomatik sistemler ile analiz edilmesi nedeniyle aleyhinize bir sonucun ortaya çıkmasına itiraz etme;
• kanuna aykırı işleme nedeniyle zarara uğramanız hâlinde zararın giderilmesini talep etme

haklarına sahip olabilirsiniz.

Bu Kullanım Koşulları, RedRoot İklim ve Toprak Teknolojileri A.Ş. tarafından işletilen RedRoot internet sitesine erişimi ve sitenin kullanımını düzenler.

İnternet sitesini kullanmanız, bu koşulları kabul ettiğiniz anlamına gelir. RedRoot koşulları zaman zaman güncelleyebilir; yayımlanan güncel sürüm belirtilen yürürlük tarihinden itibaren geçerli olur.

2. İnternet Sitesi İçeriği

İnternet sitesinde yer alan şirket, ürün, pazar, teknik, sürdürülebilirlik ve ticari bilgiler genel bilgilendirme amacıyla sunulur.

RedRoot bilgilerin doğru ve güncel olmasını sağlamaya çalışmakla birlikte içerikler pazar, mevzuat, ürün geliştirme, üretim, tedarik ve ticari koşullara göre değişebilir ve ayrıca doğrulanması gerekebilir.

3. Bağlayıcı Teklif Niteliği

İnternet sitesindeki hiçbir içerik tek başına bağlayıcı teklif, fiyat teklifi, satış taahhüdü, garanti, sertifika, yatırım tavsiyesi veya profesyonel danışmanlık niteliğinde değildir.

Ürün, hizmet, teknik özellik, fiyat, hacim, teslimat, yeterlilik, mevzuat uyumu veya ticari şartlar ancak yetkili taraflarca ayrıca değerlendirilip yazılı olarak kabul edildiğinde bağlayıcı hâle gelir.

4. Fikri Mülkiyet

Aksi belirtilmedikçe internet sitesindeki metinler, görseller, fotoğraflar, grafikler, tasarımlar, markalar, logolar ve diğer özgün içerikler RedRoot’a veya ilgili hak sahibine aittir.

İçerikler, meşru şirket içi değerlendirme amacıyla görüntülenebilir. Yasal olarak izin verilen hâller dışında RedRoot’un yazılı izni olmaksızın çoğaltılamaz, değiştirilemez, ticari amaçla kullanılamaz veya yeniden yayımlanamaz.

5. Uygun Kullanım ve Dış Bağlantılar

Kullanıcılar:

• internet sitesinin veya altyapısının güvenliğini bozmaya;
• yetkisiz sistem, hesap veya verilere erişmeye;
• zararlı yazılım veya kod göndermeye;
• hukuka aykırı, hileli veya yanıltıcı amaçlarla siteyi kullanmaya;
• RedRoot ile gerçekte bulunmayan bir bağlantı veya yetkiyi varmış gibi göstermeye

yönelik faaliyetlerde bulunamaz.

Üçüncü taraf internet sitelerine verilen bağlantılar yalnızca kolaylık amacıyla sunulabilir. RedRoot bu sitelerin içeriği, erişilebilirliği, gizlilik uygulamaları veya kullanım koşullarından sorumlu değildir.

6. Sorumluluk

İnternet sitesi yürürlükteki mevzuatın izin verdiği ölçüde mevcut hâliyle sunulur. RedRoot, internet sitesinin kesintisiz veya tamamen hatasız olacağını ya da tüm içeriğin her zaman güncel ve belirli bir kullanım amacına uygun olacağını garanti etmez.

RedRoot’un sorumluluğu, emredici mevzuat hükümleri saklı kalmak üzere yürürlükteki hukuk kapsamında değerlendirilir.

7. Uygulanacak Hukuk ve İletişim

Türkiye pazarına yönelik internet sitesi ve bu Kullanım Koşulları Türk hukukuna tabidir. Emredici mevzuat hükümleri saklı kalmak üzere, uyuşmazlıklarda yetkili mahkeme ve merciler Türk hukuku çerçevesinde belirlenir.

1. Amaç ve Kapsam

Bu Veri Politikası, RedRoot İklim ve Toprak Teknolojileri A.Ş.’nin faaliyetleri kapsamında aldığı, oluşturduğu veya işlediği ticari, teknik, operasyonel ve proje verilerine ilişkin genel yaklaşımını açıklar.

Bir veri gerçek kişiyle ilişkiliyse veya kişiyi belirlenebilir kılıyorsa, KVKK Aydınlatma Metni ve ilgili kişisel veri mevzuatı ayrıca uygulanır.

2. Veri Sınıfları

RedRoot aşağıdaki veri kategorileriyle çalışabilir:

• ürün özellikleri, formülasyon ve teknik gereksinimler;
• hammadde, fiyat, hacim, lojistik ve tedarik zinciri bilgileri;
• tesis, üretim hattı ve operasyonel veriler;
• agronomik, saha, toprak, sürdürülebilirlik ve iklim verileri;
• bayi, distribütör, pazar ve ticari geliştirme verileri;
• proje, yatırım, durum tespiti ve iş ortaklığı verileri;
• internet sitesi ve bilgi sistemlerinden oluşan operasyonel veriler.

İhtiyaca göre veriler açık, kurum içi, gizli veya kişisel veri gibi erişim seviyeleriyle sınıflandırılabilir.

3. Veri Sahipliği ve Kullanım

Taraflarca yazılı olarak aksi kararlaştırılmadıkça, bir iş ortağı veya müşteri tarafından RedRoot’a sağlanan veriler üzerindeki mevcut mülkiyet veya fikri haklar sırf veri paylaşımı nedeniyle RedRoot’a devredilmiş sayılmaz.

RedRoot verileri, paylaşıldıkları amaç, yetkilendirilmiş proje veya hizmetin yürütülmesi, ticari değerlendirme, uyum, güvenlik ve sözleşme ile mevzuatın izin verdiği diğer amaçlarla kullanır.

Proje bazında imzalanan gizlilik, veri erişimi, fikri mülkiyet, lisans veya veri kullanım hükümleri bu genel politikaya göre önceliklidir.

4. Erişim ve Gizlilik

Gizli veya kısıtlı verilere erişim, görev veya proje gereği erişim ihtiyacı bulunan yetkili kişilerle sınırlandırılır.

RedRoot; veri hassasiyetine göre rol bazlı erişim, gizlilik yükümlülükleri, erişim kayıtları veya benzeri idari ve teknik kontroller uygulayabilir.

5. Güvenlik ve Hizmet Sağlayıcılar

RedRoot verileri yetkisiz erişim, kayıp, değiştirme, açıklama veya kötüye kullanıma karşı korumaya yönelik makul teknik ve organizasyonel tedbirler uygular.

Barındırma, yazılım, iletişim, analiz, güvenlik veya profesyonel hizmet sağlayıcıları işin gerektirdiği ölçüde veri işleyebilir. Kişisel veri içeren işleme faaliyetlerinde KVKK ve ilgili sözleşmesel yükümlülükler dikkate alınır.

6. Saklama ve Yurt Dışı İşleme

Veriler; meşru ticari ihtiyaç, sözleşme süresi, yasal yükümlülük, uyuşmazlık ve veri hassasiyeti dikkate alınarak gerekli süre boyunca saklanır.

RedRoot’un uluslararası faaliyetleri nedeniyle bazı verilerin yurt dışında işlenmesi veya barındırılması gerekebilir. Kişisel veriler bakımından yurt dışına aktarım KVKK’nın yürürlükteki şartları ve uygun güvenceleri çerçevesinde gerçekleştirilir.

Sözleşme ve mevzuatın izin verdiği ölçüde, kişiyi veya karşı tarafın gizli bilgisini ortaya çıkarmayacak şekilde anonimleştirilmiş veya toplulaştırılmış veriler analiz, planlama, araştırma ve hizmet geliştirme amacıyla kullanılabilir.
